SFBJ: Publicly traded aviation company to acquire Atlanta business for $2 billion
A publicly traded company that provides distribution and repair services to aviation and aerospace businesses has announced plans to complete a $2 billion acquisition.
Miramar-based VSE Corp. (Nasdaq: VSEC) said it will acquire Atlanta-based Precision Aviation Group Inc. for about $2.025 billion in cash and equity.
PAG, which provides maintenance, repair and overhaul services and supply chains solutions, is a portfolio company of GenNx360 Capital Partners, a New York-based private equity firm.
The deal comprises $1.75 billion in cash and about $275 million of equity consideration to GenNx. It also includes up to $125 million in additional contingent earnout consideration based on PAG’s adjusted financial performance this year.
The transaction is expected to close in the second quarter of 2026, subject to regulatory approvals.
With the deal, VSE would gain more than 1,000 PAG employees across more than two dozen global locations, according to company figures. The combined company would have about 60 locations worldwide.
“This acquisition represents a pivotal moment for VSE and a major milestone in our strategy to build a scaled, differentiated, higher-margin aviation aftermarket platform,” said John Cuomo, VSE’s president and CEO.
The combination would boost VSE’s pro forma revenue last year by some 50%, according to company estimates.
VSE’s full-year revenue in 2025 was around $1.1 billion, according to preliminary unaudited figures. The company’s estimated operating income last year ranged from $84 to $91 million. The company’s official earnings for 2025 are set to come out in February.
VSE shares were trading at $215.54 early Thursday afternoon, up 4.62% from market open. Shares were up 109.51% for the 12 months ended Jan. 29.
The company moved its headquarters to the Miramar Park of Commerce, one of South Florida’s largest business parks, in 2024, after decades in Northern Virginia.
South Florida is a hub for the aviation and aerospace industry, and hundreds of companies have a presence in the tri-county region. The industry supports tens of thousands of local jobs, many with above-average salaries.
